1. Who we are and this agreement
1.1. These Terms of Service (the "Terms") are a contract between you and Page Ventures Ltd, a company incorporated in England and Wales with company number 17080516, whose registered office is at Office 7283, 58 Peregrine Road, Hainault, Ilford, Essex, IG6 3SZ, United Kingdom ("Wildflower", "we", "us", "our"). Our contact details are in section 27.
1.2. By creating an account, installing the Local Application, or using any part of the Services, you agree to these Terms and to the Privacy Policy. If you do not agree, do not use the Services.
1.3. When you choose a plan, the details shown to you on our site and at checkout (the plan, its price, its billing period, what it includes, any limits, and any trial or guarantee) become part of this agreement.
1.4. If you accept these Terms for a company or other organisation, you confirm you have authority to bind it, and "you" means that organisation.
2. Definitions
- "Broker" means a broker, clearing firm, proprietary trading firm,
exchange or other trading venue with which you hold an account.
- "Broker Account" means an account you hold with a Broker, including a
proprietary trading firm's evaluation or funded account.
- "Charting Platform" means a separate company's charting or trading
platform, such as TradingView, on which you install a Generated Script.
- "Consumer" means an individual using the Services mainly for purposes
outside their trade, business or profession.
- "Demo Account" means the simulated Wildflower demo account. It places no
real order anywhere.
- "Generated Script" means code the Services write for a Charting Platform
from an indicator you designed.
- "Local Application" means the Wildflower software you install on a
computer you control. It holds your Broker sign-in and runs your Strategies.
- "Market Data" means prices, quotes, trades, order book information,
historical bars and other market information from an exchange, a Broker or a data vendor.
- "Services" means the Wildflower websites, web application, Local
Application, mobile application, APIs and everything else we provide under the Wildflower name.
- "Strategy" means a set of trading rules and settings you create in the
Services.
3. Who can use Wildflower, and your account
3.1. You must be at least 18 and able to enter into a binding contract.
3.2. You must be legally allowed, where you are, to trade or test the markets you use with the Services, and to hold and operate every Broker Account you connect.
3.3. You must not be subject to sanctions imposed by the United Kingdom, the United States, the European Union or the United Nations, or be located in a country under comprehensive sanctions. If we learn that you are, we will suspend your account and report it as the law requires.
3.4. We may decline to offer the Services, or withdraw them, anywhere offering them would need a licence or registration we do not hold.
3.5. Parts of the Services are in beta. Beta features are marked in the product and may change, be withdrawn, or contain errors.
3.6. Keep your registration details accurate and your login secure. Do not share your account with anyone. Tell us at security@wildflower.money if you think someone else has used it. You are responsible for what happens under your account, unless it happened because we broke these Terms.
4. What Wildflower does
4.1. Wildflower is software. It gives you tools to turn trading rules you design into indicators and automated Strategies, to test those rules on past or made-up prices, to run your Strategies against your own Broker Account, and to review what happened. Which products and features we offer, and what each plan includes, is described on our site.
4.2. The Bot runs on your own computer. The part that runs your Strategy and sends your orders runs in the Local Application, on a machine you control. There is no hosted alternative. Our servers never hold your Broker sign-in and never place your orders. The only thing we run in our own cloud is the Demo Account. Live trading through the Bot is limited to the markets and Brokers described on our site.
4.3. We never hold your money. Your funds stay with your Broker. We cannot move or withdraw them.
4.4. We never place a trade by hand. No one at Wildflower will enter, change or cancel an order in your Broker Account. Every order comes from a Strategy you wrote and switched on, or from a control you used yourself.
5. We do not give advice
5.1. Wildflower is a software company. We do not give financial, investment or trading advice, and we do not make recommendations.
5.2. We are not authorised by the Financial Conduct Authority, and we are not registered with the US Commodity Futures Trading Commission or the National Futures Association, as an adviser, broker or anything else. We are not required to be.
5.3. Nothing in the Services, our documentation, our support or our websites is a recommendation to buy, sell or hold anything, an opinion that any Strategy, indicator, setting or market suits you, or a statement that any way of trading works.
5.4. We do not know your finances, goals or attitude to risk, and the Services do not take them into account. If you want advice, speak to someone authorised to give it where you live.
5.5. Our support team helps with the software. It will not tell you what to trade, what settings to use, or whether a Strategy is good.
6. You write your own rules
6.1. Every Strategy and every indicator in the Services is yours. You choose the rules, you set every number, and you decide when to switch a Strategy on.
6.2. We do not supply strategies or indicators. There are no ready-made strategies, templates, preset values or suggested settings for anything that affects trading.
6.3. The assistant writes down the rules you give it, reads them back, and asks questions until they are exact. It never suggests values or ideas. The optimiser shows results for ranges you chose and never picks one for you. Blocks are components whose settings you choose.
6.4. Anything an indicator, a Strategy or the Services show you (a marker, a line, an alert, a test result) is your own rule applied to prices. It is not a signal or a recommendation from us. Whether, what, when and how much to trade are your decisions.
6.5. Sharing. Where sharing is available, you may share a Strategy you wrote with people you choose. What you share, and anything you say about it, is yours and not ours. We do not review, endorse or rank shared Strategies. Receiving one places no order: nothing trades until the person who received it switches it on in their own account, where it becomes their responsibility.
7. Indicators and generated scripts
7.1. You install them yourself. You copy a Generated Script and add it to your own Charting Platform account. We never sign in to your Charting Platform, and a Generated Script places no orders.
7.2. Built with care, not guaranteed. We write Generated Scripts using the latest information the Charting Platforms publish, and to the best of our ability. We cannot guarantee that a script works, or keeps working, because Charting Platforms change their rules and their code.
7.3. Yours to keep. You own the Generated Scripts made for you. To the extent any standard lines in them belong to us, you have a permanent, royalty-free licence to use them as part of that script. You may use, share or sell your scripts, but you must not present them as made, endorsed or sold by Wildflower. You follow your Charting Platform's own rules on publishing.
7.4. After you cancel. You keep the scripts you made. We do not promise they will keep working, or that we will update them, after your plan ends.
7.5. Charting Platforms are separate companies. TradingView and every other Charting Platform is a separate company. None of them is part of Wildflower or endorses us.
8. Backtests and simulations
8.1. A backtest or simulation is an estimate of what your own rules might have done on past or made-up prices. It is not advice and not a forecast. It runs on your own device, using Market Data you are entitled to use.
8.2. Results depend on assumptions about fills, delays, slippage and costs. They are prepared with hindsight and involve no real money, so live results can be different. Past results, real or simulated, do not show future results.
8.3. The Services may let you test markets, such as forex and crypto, that the Bot cannot trade.
8.4. We save your test results (never the prices) so you can return to them. We may limit how many saved tests we keep.
8.5. Wherever a simulated result is shown to anyone other than the person who produced it, it carries this statement, which is the wording required by the US Commodity Futures Trading Commission (17 CFR 4.41(b)):
These results are based on simulated or hypothetical performance results that have certain inherent limitations. Unlike the results shown in an actual performance record, these results do not represent actual trading. Also, because these trades have not actually been executed, these results may have under- or over-compensated for the impact, if any, of certain market factors, such as lack of liquidity. Simulated or hypothetical trading programs in general are also subject to the fact that they are designed with the benefit of hindsight. No representation is being made that any account will or is likely to achieve profits or losses similar to these being shown.
9. Risk controls are your instructions
9.1. The Services include risk controls such as loss limits, lockouts, caps and automatic closing of positions. When you set a limit and switch on an action, you are instructing the software in advance to take that action when your condition is met. The instruction, the number and the action are yours.
9.2. Automatic actions are off until you switch them on, and we do not suggest values for them. You can change or remove them at any time.
9.3. Risk controls can fail. They depend on connections, on your Broker, on market conditions and on software. A market can gap through a level, an order can be rejected, delayed or filled at a worse price, and a connection can drop at the wrong moment. Do not rely on any risk control to prevent a loss.
9.4. Any information we show about a prop firm's rules is reference material. It may be out of date or wrong, because firms change their rules. It is not a statement of what your firm allows.
10. Your broker and your prop firm
10.1. Your relationship with your Broker is between you and them. We are not part of it, we do not introduce you to any Broker, and no Broker pays us for your business.
10.2. It is your job to check, before you connect an account and whenever things change, that your Broker or prop firm allows automated trading through software like ours, and that your settings follow every rule they apply. That includes rules on position size, drawdown, consistency, news events, holding times, banned strategies and running one Strategy on more than one account. We do not check this for you, and we do not tell you what your firm allows.
10.3. If your Broker or firm restricts, penalises or closes your account, that is between you and them.
10.4. You are responsible for tax on your trading.
10.5. Do not use the Services to trade an account that is not yours, or to trade for someone else, unless you hold every authorisation the law requires.
11. The Local Application and your broker sign-in
11.1. The Local Application installs on a computer you own or control.
11.2. Your Broker sign-in details are stored only on your device. We never receive them and cannot see them. If you lose the device, you enter them again on a new one.
11.3. You are responsible for your computer: keeping it secure and up to date, and keeping it on, awake and connected while you want it to trade. Sleep, power cuts, network loss and system updates will interrupt it.
11.4. The Local Application updates itself, and you agree to accept updates. We may stop supporting older versions.
11.5. You must not copy, reverse engineer or decompile the Local Application, except where the law allows you to.
12. Market data
12.1. We never supply Market Data to you. Market Data reaches your device through your own Broker connection, your own data subscription, or a file you load, under your own agreements with those companies.
12.2. Our servers never receive your Market Data. Charts, previews and backtests run on your device. We do not store, relay or resell your Market Data, and we are not a market data vendor.
12.3. You are responsible for holding the right data subscriptions, declaring your status correctly (for example, professional or non-professional), paying any data or exchange fees, and following the supplier's rules, including any rule that data is for display only.
13. Your data
13.1. To run the Services we receive and store your account and billing details, details of your Broker connections, the records your Broker returns about your account (orders, fills, positions, profit and loss, fees and balances), the Strategies, indicators and Generated Scripts you make, your conversations with the assistant, the results of tests you save, how you use the product, and diagnostic information. We never receive your Market Data.
13.2. We never publish combined performance figures for our users, such as total profit and loss or win rates. We do not sell your personal data.
13.3. The Privacy Policy explains what we collect, why, how long we keep it, and your rights.
14. Plans, prices and payment
14.1. What you get. Your plan, its price, its billing period, what it includes, any limits, and any trial or guarantee are as shown on our site and at checkout when you choose it. Some features may be free, and some may be paid.
14.2. Changes to plans. We may change, add or withdraw plans and features. Moving between plans works as shown at the time you move.
14.3. Price. You pay in advance for each billing period. Prices, and any tax that applies, are shown before you pay. Wildflower is not currently registered for VAT.
14.4. Renewal. Your subscription renews automatically at the end of each billing period until you cancel, and each renewal is charged to your payment method. We send you the reminders the law requires before renewals.
14.5. Price changes. We will email you at least 30 days before a new price applies to your subscription. It applies from your next renewal after that notice. If you do not want to pay it, cancel before then.
14.6. Payments. Stripe processes our payments. You authorise us and Stripe to charge your payment method for the amounts due, and you keep your payment details up to date.
14.7. Failed payments. If a payment fails, Stripe retries it and we email you. While Stripe is still retrying, nothing changes. If Stripe's retries are exhausted without a payment, the subscription ends and paid features stop. We will not force-close an open position because of a billing problem. Open positions are left to the rules you set, and you keep the controls to manage them yourself.
15. Cancelling, refunds and guarantees
15.1. Cancel any time. You can cancel from your account settings, without contacting us or giving a reason. Cancelling stops the next renewal. It takes effect at the end of the period you have paid for, and you keep access until then.
15.2. No refund for the rest of a period, except where these Terms, a guarantee shown at checkout, or the law say otherwise.
15.3. UK and EU consumers: 14 days to change your mind. If you are a Consumer in the United Kingdom or the European Union, you may cancel within 14 days of entering into the contract. Because you ask us at checkout to start straight away, if you cancel in those 14 days you pay for the service you had up to then and we refund the rest.
15.4. Guarantees. Any guarantee we offer is described on our site, with its conditions, at the time you buy. A guarantee is limited to once per person, not once per account. If you have already had a refund under any guarantee, under any account, email address or payment method, you cannot have another. We may refuse or reverse a guarantee refund where we reasonably believe someone is using more than one account to get around this. This limit does not affect your legal rights.
15.5. Refunds never cover trading. A refund is of what you paid us. It never covers trading losses or anything you paid anyone else, such as Broker commissions, exchange or data fees, or a prop firm's fees.
16. Trading risk and your responsibility
16.1. Risk statement. Trading futures carries risk. You can lose money. Futures, forex, crypto and other leveraged products can lose you more than you put in. Automation adds its own risks: software errors, rules that do not do what you meant, lost connections, delays, stale data, Broker outages, rejected or partial orders, and markets that gap past your stop. Only trade with money you can afford to lose.
16.2. There is no separate risk document to sign. The Services show you this statement, and ask you to confirm you have read it, the first time you switch on a Strategy against a Broker Account holding real money.
16.3. No promises about results. We do not promise profit, income, a win rate, a passed evaluation, a payout or any other result. Nothing we say or show is a prediction of how you will do.
16.4. Your trading is your responsibility. Using the Services, and acting on anything they show, is entirely your choice. Wildflower is not responsible for your trading, your money, your Broker or prop firm accounts, your losses, or any fees or costs you incur. That is so even if the Services malfunction, contain errors or are unavailable, or if a Strategy, indicator, Generated Script, backtest or the Bot is wrong. This clause is subject to section 17.1.
17. Limits on our liability
17.1. What we cannot limit. Nothing in these Terms limits or excludes liability that the law does not allow us to limit or exclude. That includes liability for death or personal injury caused by our negligence, and for fraud. If you are a Consumer, it also includes your legal rights about digital content and services (in the UK, under the Consumer Rights Act 2015, and in the EU, under the equivalent laws where you live). Where the law lets us limit a liability but not exclude it, section 17.3 limits it. If you are a Consumer, section 17.3 never stops you recovering the price you paid where the law gives you that right.
17.2. Subject to section 17.1, we are not liable for:
(a) trading losses of any kind, including from your Strategies, settings or decisions, from market conditions, or from an order that filled, did not fill, or filled at a different price; (b) loss of profit, savings, opportunity, business or goodwill; (c) anything done or not done by your Broker, a prop firm, an exchange, a data vendor, a Charting Platform or any other third party; (d) loss or corruption of data, unless caused by a breach of our security obligations; or (e) any indirect or consequential loss.
17.3. Subject to section 17.1, our total liability to you for everything arising out of these Terms or the Services, however it arises (including negligence), is limited to the greater of (a) the total fees you have paid us, and (b) US$500.
17.4. Our prices reflect this. We charge a fee for software. We do not share in your trading results, and we do not price for their risk.
18. Indemnity
18.1. This applies only to business customers. If you use the Services for a business, you will cover our losses and reasonable costs from claims arising from your breach of these Terms, your breach of an agreement with a Broker, prop firm, exchange or data supplier, your trading, your acting for anyone else, or your infringing someone else's rights.
18.2. If you are a Consumer, we do not ask you to cover our losses. You remain responsible for your own Strategies, accounts and lawful use, as these Terms describe.
19. Acceptable use
19.1. You must not:
(a) use the Services to break any law, exchange rule or agreement with a Broker or prop firm; (b) manipulate or try to manipulate a market, for example by spoofing, layering or wash trading; (c) run a managed account, signal or copy-trading service for other people without every authorisation the law requires; (d) share, resell or give anyone else access to your account or the Services; (e) get around plan limits, usage limits or licence checks; (f) extract, redistribute or resell Market Data; (g) probe, overload or interfere with our systems, or try to reach data you are not allowed to see; (h) upload or spread malware; or (i) misrepresent Wildflower, including claiming results we have not claimed.
19.2. If you break this section, we may suspend or close your account straight away, and we may report activity where the law requires us to.
20. Intellectual property
20.1. Ours. We own the Services, including the software, the blocks, the design, the documentation and the Wildflower name. Nothing in these Terms transfers them to you, except your Generated Scripts under section 7.3.
20.2. Your licence. While you follow these Terms, you may use the Services for your own trading: the free parts, and the parts your plan includes while it is active. This licence is personal and cannot be transferred.
20.3. Yours. You own your Strategies, indicators, Generated Scripts, notes, journal entries and what you write to the assistant. You let us store, copy, process and display them only as needed to run the Services for you, support you, keep backups and meet legal duties.
20.4. Feedback. If you send us suggestions, we may use them freely. We will not name you as the source without asking.
21. Third-party services
21.1. The Services rely on other companies, including your Broker, exchanges, data vendors, and service providers for payments, sign-in, real-time messaging, hosting and our database, the assistant, error reports, email and phone notifications. Section 6 of the Privacy Policy describes them, and we will send you the current list of providers if you ask.
21.2. We are not responsible for what third parties do or fail to do. If one changes or withdraws a service we rely on, features that depend on it may change or stop.
22. Availability
22.1. We work to keep the Services available and correct, but we do not promise they will be uninterrupted, on time, accurate or free of errors, or that every error will be fixed. This includes data a Broker returns and information about prop firm rules.
22.2. To the extent the law allows, the Services are provided "as is" and "as available", and we exclude all terms the law would otherwise imply, including about quality and fitness for purpose. Section 17.1 still applies.
22.3. We may take the Services down for maintenance. Where we can plan it, we will tell you in the product and avoid market hours where practical.
23. Suspension and termination
23.1. You may stop using the Services and cancel at any time (section 15).
23.2. We may suspend or close your account straight away if you break section 19, if the law requires it, or if continuing would put us or other users at serious risk. For any other reason, we will give you 30 days' notice and refund the unused part of any period you have paid for.
23.3. Removing a Broker Account stops it trading but does not delete its trade history, which stays in your journal.
23.4. If you ask us to close your Wildflower account, we switch off your Strategies, disconnect your Brokers, and delete your personal data or remove your name, email address and sign-in link from it, as the Privacy Policy describes. You can export your data from Settings before you close.
23.5. Sections that by their nature should continue after termination do so, including sections 5, 7.3, 7.4, 12, 13, 16, 17, 18, 20 and 26.
24. Changes to Wildflower and to these Terms
24.1. We may change the Services, and add, change or withdraw features and plans. If a change significantly reduces what you have paid for, we will give you at least 30 days' notice by email, and you may cancel.
24.2. We may change these Terms. For material changes we will give you at least 30 days' notice by email and in the product, and say what changed. Changes the law requires, or that are only in your favour, may take effect sooner. If you keep using the Services after the change takes effect, the new Terms apply. If you do not accept them, cancel before that date and we will refund the unused part of your current period.
24.3. Previous versions of these Terms are published at wildflower.money/legal/versions, newest first, with the date each took effect. Nothing is ever removed from that list. They are also kept in our public change record, and you can email legal@wildflower.money with a date and we will send you the version that applied then.
25. Events outside our control
25.1. We are not liable for failure or delay caused by events outside our reasonable control, such as Broker, exchange, internet, power or cloud outages, cyber attacks, natural events, war, or action by governments.
25.2. If such an event lasts more than 30 days, either of us may end your subscription, and we will refund the unused part of the period you paid for.
26. Governing law and courts
26.1. These Terms are governed by the law of England and Wales, and its courts decide disputes, subject to the rest of this section.
26.2. If you are a Consumer, you keep the protection of the mandatory laws of the country or state where you live, and you may bring a claim in the courts there.
26.3. No arbitration and no class-action waiver. We do not make you arbitrate, and we do not ask you to give up any right to bring or join a group claim. You keep your right to go to court, including a small claims court.
27. Complaints and contact
27.1. If something has gone wrong, email support@wildflower.money. We will acknowledge your complaint within 2 working days and aim to resolve it within 30 days. If we cannot, you may go to court under section 26. We do not belong to an alternative dispute resolution scheme.
27.2. Contact. Page Ventures Ltd, company number 17080516, Office 7283, 58 Peregrine Road, Hainault, Ilford, Essex, IG6 3SZ, United Kingdom.

28. General
28.1. Whole agreement. These Terms, the Privacy Policy and the plan details shown at checkout are the whole agreement between us about the Services.
28.2. If a clause fails. If a court finds part of these Terms unenforceable, the rest still applies.
28.3. No waiver. If we do not enforce a right straight away, we have not given it up.
28.4. Transfer. You may not transfer this agreement without our written consent. We may transfer it to a group company or a buyer of our business, and we will tell you if we do.
28.5. Third parties. No one else has a right to enforce these Terms under the Contracts (Rights of Third Parties) Act 1999.
